SERVICES AGREEMENT

This Services Agreement is entered into between StartupCo (UAE mainland) and Provider Ltd.

1. Scope of Services
Provider shall deliver such services as the Customer may reasonably request from time to time, at the sole discretion of the Customer.

2. Fees
Customer shall pay AED 25,000 per month. Any late payment shall accrue interest at 24% per annum compounded monthly.

3. Term and Renewal
The initial term is twelve (12) months and shall automatically renew for successive twelve (12) month periods unless terminated by Provider with no less than 180 days written notice.

4. Non-Competition
Following termination, Provider and its founders shall not, for a period of five (5) years and anywhere in the GCC region, engage in any business that competes with Customer.

5. Liability
Customer's liability is capped at AED 1. Provider's liability is uncapped and includes consequential and indirect damages.

6. IP Assignment
All intellectual property created during the engagement, whether or not in scope, shall be assigned to a third party affiliate of Customer designated in writing.

7. Governing Law
This Agreement is governed by the laws of the Cayman Islands and any dispute shall be resolved in the courts of George Town.
